Financial route
DIFC family office
Single Family Office structures, with or without DFSA authorisation
In short
A Single Family Office serving one family can usually operate in the DIFC without DFSA authorisation, because services provided to a single family fall outside the Financial Services perimeter. The moment a second family is served, or the office manages money for anyone else, the DFSA becomes involved and a Category 3C or Category 4 Licence is required.
- Regulation
- Single family: outside the DFSA perimeter. Multi family: DFSA authorised
- Common pairing
- Foundation at the top, Prescribed Companies below, family office operating entity
- Licence type
- Non-regulated commercial licence for a true SFO
- Timeline
- 6 to 10 weeks for the office, longer for the wider structure
- Office
- Physical space required, which also drives the visa quota
Who this suits
- Families with US$50 million or more in investable assets consolidating governance
- Second and third generation families formalising decision making
- Families moving their principal residence to the UAE
- Groups combining an operating business with an investment portfolio
- Multi family offices, which take the regulated route
Single family or multi family, and why the line matters
The regulatory question is who the client is. An office that advises, arranges or manages only for members of one family, and entities that family controls, is not providing a Financial Service to third parties. That keeps it outside DFSA authorisation and on a standard commercial licence, which is materially faster and cheaper.
Add a second unrelated family, take an external mandate or start charging fees to anyone outside the family group, and the position changes. Families that expect to open up later should plan for the regulated path from the outset rather than restructuring after the fact.
What the structure usually looks like
The pattern that recurs is three layers. A DIFC Foundation sits at the top holding the family's interests, which deals with succession and keeps the assets out of a personal estate. Below it, Prescribed Companies hold particular asset classes: the operating business, the property portfolio, the liquid investments. Alongside, a separate operating entity with a commercial licence employs the staff who run the office.
Splitting operations from ownership is the part families most often skip and most often regret. When the office and the assets sit in one entity, every staff matter, every lease and every service contract touches the vehicle that holds the family's wealth.
Governance is the actual product
The licence is straightforward. The hard part is agreeing who decides what. A family charter, a clear investment policy, a distribution framework and a defined role for the next generation do more for continuity than any legal structure on its own.
The DIFC supports this well. The DIFC Courts Wills Service lets non-Muslim residents dispose of UAE assets under a common law will. The Foundations regime handles succession of the structure itself. Between them, the family can set out a plan that survives a death without a court in another country reopening it.
What the Registrar asks for
- Confirmation that services are provided only within the single family group
- Family tree and relationship evidence supporting the single family position
- Business plan for the office covering staff, functions and cost recovery
- Office space inside the DIFC
- Ultimate beneficial ownership disclosure and source of wealth evidence
- Constitutional documents for the operating entity, plus any Foundation or holding vehicles

Does a single family office need a DFSA licence?
Generally no. Services provided exclusively to members of one family and entities they control fall outside the Financial Services perimeter. The analysis depends on the facts, particularly who the family group includes and whether any fee-bearing service reaches outside it.
How much wealth justifies a DIFC family office?
There is no regulatory threshold. As a practical matter the running cost of a properly staffed office, including licence, premises, salaries and advisers, starts around US$500,000 a year. Families below roughly US$50 million in investable assets often get better value from an outsourced arrangement.
Can a family office employ investment staff on DIFC visas?
Yes. The operating entity holds an establishment card and sponsors employment visas against its leased office space, so the number of visas follows the size of the lease.
